Allgemeine Geschäftsbedingungen der knowhow.foundation

§ 1 Geltungsbereich und Vertragspartner (1) Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge über die Erbringung von KI-Dienstleistungen (z. B. Erstellung von Webseiten, Videos, Grafiken, Automatisierungen) sowie den Verkauf digitaler Inhalte im Pay-per-View-Verfahren, die zwischen der Knowhow.foundation, vertreten durch Dirk Schweitzer,Hauptstraße 178, 53913 Swisttal (nachfolgend „Anbieter“), und dem Kunden geschlossen werden. (2) Das Angebot richtet sich vornehmlich an Unternehmer (§ 14 BGB). Abweichende, entgegenstehende oder ergänzende AGB des Kunden werden nur dann Vertragsbestandteil, wenn der Anbieter ihrer Geltung ausdrücklich zugestimmt hat.

§ 2 Vertragsgegenstand Der Anbieter erbringt Leistungen in zwei Kernbereichen:

1. KI-Auftragsarbeiten: Die Konzeption, Erstellung und Implementierung von digitalen Inhalten und Workflows (Videos, Grafiken, Webseiten, Automatisierungen) unter Einsatz von Künstlicher Intelligenz nach individueller Absprache.

2. Pay-per-View-Inhalte: Die Bereitstellung von kostenpflichtigen Video-Tutorials und Vorlagen auf Abruf (Streaming) über den Drittanbieter-Dienst Castr.

§ 3 Vertragsschluss (1) Bei KI-Auftragsarbeiten: Ein Vertrag kommt durch die Annahme eines schriftlichen oder elektronischen Angebots des Anbieters durch den Kunden zustande. (2) Bei Pay-per-View-Käufen: Die Darstellung der Tutorials auf der Website stellt kein rechtlich bindendes Angebot dar, sondern eine Aufforderung zur Bestellung. Durch den Klick auf den kostenpflichtigen Bestell-Button gibt der Kunde ein verbindliches Angebot ab. Der Vertrag kommt mit der Freischaltung des Videos oder der Zahlungsbestätigung zustande.

§ 4 Besondere Bedingungen für KI-Auftragsarbeiten (Dienst- und Werkleistungen) (1) Mitwirkungspflichten: Der Kunde ist verpflichtet, alle für die Umsetzung erforderlichen Informationen, Daten und Materialien (Texte, Logos etc.) rechtzeitig bereitzustellen. (2) KI-Spezifika: Dem Kunden ist bewusst, dass generative KI-Systeme technologischen Schwankungen unterliegen. Der Anbieter schuldet die fachgerechte Bedienung der KI (Prompting, Workflow-Architektur, Postproduktion). Die fachliche und rechtliche Endprüfung (z. B. auf Marken- oder Urheberrechtsverletzungen Dritter) der generierten Inhalte obliegt dem Kunden vor der produktiven Nutzung. (3) Abnahme: Bei Werkleistungen ist der Kunde zur Abnahme verpflichtet, sobald die vertragsgemäße Leistung erbracht wurde. Kleinere KI-typische Artefakte oder redaktionelle Anpassungsbedarfe berechtigen nicht zur Verweigerung der Abnahme, sondern werden im Rahmen der vereinbarten Korrekturschleifen behoben.

§ 5 Besondere Bedingungen für Pay-per-View-Inhalte (Castr) (1) Zugang: Nach erfolgreicher Bezahlung (z. B. via Stripe) erhält der Kunde einen unmittelbaren digitalen Zugang zum gebuchten Video-Content. Das Hosting und Streaming erfolgt über die Plattform Castr. (2) Verfügbarkeit: Der Anbieter bemüht sich um eine ununterbrochene Verfügbarkeit der Inhalte. Wartungsarbeiten, technische Störungen des Hosters Castr oder Fälle höherer Gewalt können die Erreichbarkeit vorübergehend einschränken und begründen keine Minderungsansprüche, sofern der Anbieter die Ausfälle nicht vorsätzlich oder grob fahrlässig verschuldet hat. (3) Nutzungsrechte: Der Kunde erwirbt ein einfaches, nicht übertragbares, zeitlich begrenztes (so lange Knowhow.foundation Gewinne erwirtschaftet) Recht, die Inhalte für eigene unternehmerische oder private Zwecke als Stream abzurufen. Ein Download (sofern nicht ausdrücklich als Zusatzmaterial angeboten), die Vervielfältigung, Verbreitung, öffentliche Vorführung oder die Weitergabe der Zugangsdaten an Dritte ist strengstens untersagt.

§ 6 Preise und Zahlungsbedingungen (1) Alle angegebenen Preise verstehen sich in Euro und, sofern nicht anders ausgewiesen, zuzüglich der geltenden gesetzlichen Umsatzsteuer (bei B2B). (2) Pay-per-View: Die Zahlung ist unmittelbar bei Vertragsschluss fällig. Die Zahlungsabwicklung erfolgt über externe Zahlungsdienstleister. (3) Auftragsarbeiten: Sofern nicht anders vereinbart, ist der Anbieter berechtigt, eine angemessene Abschlagszahlung vor Projektbeginn (z. B. 50 %) in Rechnung zu stellen. Rechnungen sind innerhalb von 14 Tagen nach Rechnungsdatum ohne Abzug fällig.

§ 7 Haftung (1) Der Anbieter haftet unbeschränkt für Vorsatz und grobe Fahrlässigkeit. (2) Für leichte Fahrlässigkeit haftet der Anbieter nur bei Verletzung einer wesentlichen Vertragspflicht (Kardinalpflicht), deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht. Die Haftung ist in diesem Fall auf den vertragstypischen, vorhersehbaren Schaden begrenzt. (3) Haftungsausschluss bei KI-Generierung: Der Anbieter übernimmt keine Haftung für die sachliche Richtigkeit, wirtschaftliche Verwertbarkeit oder vollumfängliche rechtliche Freiheit (insbesondere Urheber- und Wettbewerbsrecht) der KI-generierten Texte, Codes, Videos oder Grafiken. Die Pflicht zur finalen rechtlichen und fachlichen Prüfung liegt beim Kunden.

§ 8 Widerrufsrecht für Verbraucher Schließt der Kunde den Vertrag als Verbraucher (§ 13 BGB) ab, steht ihm grundsätzlich ein gesetzliches Widerrufsrecht zu.

Erlöschen des Widerrufsrechts bei digitalen Inhalten (Pay-per-View): Das Widerrufsrecht erlischt bei einem Vertrag über die Lieferung von nicht auf einem körperlichen Datenträger befindlichen digitalen Daten (Videostreams) vorzeitig, wenn der Anbieter mit der Ausführung des Vertrags (Freischaltung des Streams) begonnen hat, nachdem der Verbraucher ausdrücklich zugestimmt hat, dass der Anbieter mit der Vertragsausführung vor Ablauf der Widerrufsfrist beginnt, und seine Kenntnis davon bestätigt hat, dass er durch seine Zustimmung mit Beginn der Vertragsausführung sein Widerrufsrecht verliert.

§ 9 Schlussbestimmungen (1) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts. (2) Ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag ist der Geschäftssitz des Anbieters (Swisttal / Bonn), sofern der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist. (3) Sollten einzelne Bestimmungen dieses Vertrages unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.
